By accessing and / or using any of Powwwerpages' features or service at any level, paid or unpaid, you, the User ("You") agree to the Terms and Conditions of Service ("TERMS") set out below. All services we provide to you are subject to the TERMS which may be updated by us from time to time without notifying individual users. Powwwerpages may also offer other services that may be governed by different terms. These TERMS also govern any future features and services, unless stated otherwise.

SERVICE

Powwwerpages.com provides users with access to its resources which include, among others, various communication and management tools, search engines, databases, and advertising ("Service"). You understand that by using the Service, you may be exposed to Content that is offensive, illegal, indecent or objectionable. Under no circumstances will Powwwerpages be liable in any way for any Content, including any kind of loss or damage caused thereby directly or indirectly.

Recognizing the global nature of the Internet, you agree to comply with all rules and laws in your area and country regarding online conduct and acceptable Content. Specifically, but without limitation, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States, Canada or the country in which you reside if different.

REGISTRATION AND PASSWORD

You will choose or receive an ID name and a password upon completing the Service's registration process ; this may be different for non-business users and business users. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Powwwerpages of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit and log out from your account at the end of each session. Powwwerpages cannot and will not be liable for any loss or damage arising from your failure to comply with this paragraph.

EXTENT OF USE, LIMITATIONS OF USE, AND PROHIBITED USE

Access to, and use of, Powwwerpages Online US B2B and B2C Yellow Pages and Yellow Pages Searches and Yellow Pages Search Engines as well as all of its programs, features, functions and tools ("FEATURES"), is permitted only for purposes of obtaining regular information and for your own business use and that of the members of your business only, in the regular, normal course of your business activities, on a case-to-case basis.

You understand and accept that all information and content of any kind [ for example but without limitation: programs, video, sound, images, data, text, or other materials ("Content") ], whether publicly posted or privately transmitted, are the sole responsibility of the person or entity from whom such Content originated. This means that you (as opposed to Powwwerpages) are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service.

You agree that you will use any detail or data of any business or entity listed on the Powwwerpages web site in compliance with Powwwerpages' TERMS. You will not transfer or make available any such detail or data electronically, by print or otherwise to any other business, person or entity, whether for financial or other consideration, or free of charge. You agree to never mass-use, systematically download, extract or export any data,

You expressly agree not to "hack", copy, imitate, duplicate, reverse-engineer, damage, interfere or tamper with, or in any other way misuse any of the Powwwerpages contents, in particular but not limited to, programs, functions, code, software, data or any files or any components thereof.

You agree that when you are permitted to upload, send, contribute or e-mail anything to your listing, web site or any other Powwwerpages area as may apply, you will do so in strict compliance with existing international, federal and state laws, as well as with the generally accepted rules of propriety, appropriateness, business etiquette and social responsibility. This means in particular but without limitation that you agree not to upload, transfer, post, send, link to, or make available to any part of the Powwwerpages environment any material or Content (data, files, images, text, logos, video files, audio files, etc.) which is / are, contain(s), or is / are suitable to be

unlawful ; pornographic ; knowingly misleading or untrue ; insulting, harassing, defamatory, libelous, hateful, obscene, or invasive of another's privacy ; endorsing, promoting or approving of violent or terrorist activities, persons, organizations or entities ; soliciting to commit unlawful activities ; intended or suitable to discriminate ; hateful, discriminatory or inciting against persons, groups, populations, nations or religions, based on gender, religious affiliation, birth, disability, physical appearance, sexual orientation, social status, nationality, language, or lawful political conviction or affiliation; not within your rights to make available under the Law or under contractual or fiduciary relationships (such as inside information, copyrighted or trademarked information, and proprietary and confidential information learned or disclosed as part of employment relationships or nondisclosure agreements); an infringement on any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party; unsolicited or unauthorized advertising, promotional material or Content, such as but not limited to, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

software viruses, spyware or any other computer code, file or program designed or suitable to interrupt, destroy, damage, slow down, disrupt, or limit the functionality of any software, hardware or any other system, function or equipment; suitable to harm minors in any way; impersonation of any person or entity, including, but not limited to, any staff, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity; forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service; interfere with, are suitable to interfere with, or disrupt the Service or servers or networks connected to the Service, or disobey, disturb, disrupt or foil any requirements, procedures, policies or regulations of networks connected to the Service; violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. SEC, any rules of any national or other securities exchange, or any Currency or Commodity Exchange, customs laws, tax laws, criminal law, as well as any regulations having the force of law;

You acknowledge that Powwwerpages may or may not pre-screen Content, but that Powwwerpages and its designees shall have the right (but not the obligation) in their sole discretion, to pre-screen, refuse, or remove any Content that is available via the Service. Powwwerpages and its designees shall have the right to remove any Content that violates local, State, Federal or International Laws or the TERMS, or is otherwise objectionable. Powwwerpages has taken all reasonable care to assure accuracy and completeness of the business data it offers on its Yellow Pages Search Engine and general Search Engine, as well as to ensure the proper functioning of its programs, tools, features and functions. However, Powwwerpages cannot and will not be held responsible, directly or indirectly, for direct or collateral damage or inconvenience resulting from inaccuracy or malfunction in any shape or form, and you recognize this, expressly agreeing to indemnify and hold harmless Powwwerpages for all and any of the above.

USER'S STATUS

As a business user and subscriber you are herewith deemed to be able to provide accurate, truthful and complete information about your business or entity and your person(s) if applicable and to provide timely updates and changes to that information at all times, in order to maintain that information accurate and up to date, and you agree to do so. You expressly indemnify and hold harmless Powwwerpages from any responsibility resulting from your failure to do so.

You also declare that you are fully authorized to submit information about your business to Powwwerpages, and that, in case of any financial or other obligation you enter with Powwwerpages on behalf of your business or on your own behalf, you are fully authorized to do so ; such obligations include but are not limited to, listing and web site fees, advertising charges and consulting fees as may be the case. You expressly indemnify Powwwerpages from any responsibility resulting from wrong or misleading statements you may make with respect to your status and level of authority of submitting information, of approving charges, or of entering into any commitment.

You confirm that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction.

If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Powwwerpages has reasonable grounds to suspect so, Powwwerpages has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

You expressly agree that Powwwerpages, in its absolute discretion, has the right to close down any account or listing which Powwwerpages has determined, again in its absolute discretion, to have contravened any part of the above paragraphs.

CONTENT CONTRIBUTED TO Powwwerpages

Powwwerpages does not claim ownership of Content you submit or make available for inclusion on the Service. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, you grant Powwwerpages the worldwide, royalty-free, non-exclusive license(s) to modify, adapt, reproduce, distribute, use and / or publicly display such Content (text, data, images, video, music, sound, software etc.) to promote or perpetuate the purpose for which such Content was made available and, in the case of Content other than graphics, images, sound, audio or video, the perpetual and fully sublicenseable license to modify, translate, publish, perform and display any such Content and to incorporate such Content or part thereof into other works.

By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to Powwwerpages through its suggestion or feedback webpages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) Powwwerpages is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) Powwwerpages shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) Powwwerpages may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of Powwwerpages without any obligation of Powwwerpages to you; and (f) you are not entitled to any compensation or reimbursement of any kind from Powwwerpages under any circumstances.

Signup data and certain other information about you is subject to our Privacy Policy.

You understand that through your use of the Service you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by Powwwerpages and its affiliates.

You agree that Powwwerpages may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TERMS ; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of Powwwerpages, its users and the public. You acknowledge that use of the Service may results in interstate or international data transmissions.

INDEMNITY

You agree to indemnify and hold Powwwerpages and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or otherwise make available through the Service, your use of or connection to the Service, your violation of the TERMS , or your violation of any rights of another.

GENERAL PRACTICES REGARDING USE AND STORAGE

You acknowledge that Powwwerpages may establish general practices and limits concerning use of the Service, fotr example but without limitation the maximum time, disk space, number of messages, or postings. You agree that Powwwerpages has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. Powwwerpages reserves the right to log off accounts that are inactive for an extended period of time, and to delete listings, postings, web sites and other Content of users who are in default with payments or any other obligations, as well as Content that contravenes our prohibited content rules. You further acknowledge that Powwwerpages reserves the right to modify these general practices and limits from time to time.

MODIFICATIONS TO SERVICE

Powwwerpages reserves the right from time to time to modify or discontinue, temporarily or permanently, at any time, the Service (or any part thereof) with or without notice. Powwwerpages shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

SERVICE TERM DURATION and TERMINATION

You agree that Powwwerpages may, under certain circumstances and without prior notice, immediately terminate your Powwwerpages account, any associated email address, and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the TERMS or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services.

Termination of your Powwwerpages account may include, for example but without limitation, any of the following : (a) removal of access to all offerings within the Service, including but not limited to Powwwerpages Search, Advertising, Web Creator, etc. (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of the Service. Further, you agree that all terminations for cause shall be made in Powwwerpages's sole discretion and that Powwwerpages shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Service.

In all cases of paid services, such as but not limited to, listings, advertising, added features or functionalities, business tools, consulting or other solutions: The term of a paid service agreement commences on the date of execution by you (either in writing, fax or by electronic signature, including recorded oral acceptance) of such agreement of an order presented by us. Upon expiration of the Initial Term the term of this agreement shall automatically renew for a Renewal Term of the same length as the Initial Term, unless one of the parties gives written notice at least thirty days before expiration of the Initial Term of its intent not to renew. All services provided during the Renewal Term will be subject to the then-current Terms and Conditions, pricing and other terms for Internet Advertising and other services available on our Web site.

The Renewal Term will continue from expiration of the Initial Term until termination pursuant to this Agreement, whereby the same automatic renewal rules apply to any Renewal Term or subsequent Renewal Terms as for the Initial Term. Unless otherwise agreed at the time of the service order, either you or we may terminate the Renewal Term(s), with or without cause, upon thirty days' prior written notice to the other. Neither of us may terminate this Agreement during the Initial Term, except that we may terminate this Agreement at any time upon notice to you if you breach this Agreement. If you choose to have your Advertising Products removed from any site and/or our services discontinued prior to the end of the Initial Term or Renewal Term(s), as the case may be, you shall notify us in writing. In such a case, unpaid balances, if any, for the entire Initial Term or any Renewal Term(s) will then become immediately due and owing in full. Thereby, however, the above renewal and notification rules will still apply.

Trial Period Offers. You may have received, or may receive in the future, a limited time of free service offer or some other trial period offer from us. Unless we notify you otherwise, if you decide to participate in any such free offer, you must cancel the service by the end of the time limit or trial period to avoid incurring charges. If you do not cancel your trial service, and we have informed you at any time that the service would automatically be converted into a paid subscription at the end of the time limit or trial period, then you authorize us to charge you for the service upon expiry of the trial period.

DEALINGS WITH ADVERTISERS

Your communication or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Powwwerpages shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.

LINKS

The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because Powwwerpages has no control over such sites and resources, you acknowledge and agree that Powwwerpages is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Powwwerpages shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

Powwwerpages' PROPRIETARY RIGHTS

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Powwwerpages or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

Powwwerpages grants you a personal, revocable, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, nor to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by Powwwerpages for use in accessing the Service.

DISCLAIMER OF WARRANTIES

Powwwerpages AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE SERVICE. EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Powwwerpages may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may have repeatedly infringed upon intellectual property rights of another. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please submit to Powwwerpages the pertinent. MISCELLANEOUS

The TERMS constitutes the entire agreement between you and Powwwerpages and governs your use of the Service, superseding any prior agreements between you and Powwwerpages with respect to the Service. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Powwwerpages services, affiliate services, third-party content or third-party software.

The TERMS and the relationship between you and Powwwerpages shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. You and Powwwerpages agree to submit to the personal and exclusive jurisdiction of the courts located within the State of New York.

The failure of Powwwerpages to exercise or enforce any right or provision of the TERMS shall not constitute a waiver of such right or provision. If any provision of the TERMS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TERMS remain in full force and effect.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TERMS must be filed within one (1) year after such claim or cause of action arose or be forever barred.

The section titles in the TERMS are for convenience only and have no legal or contractual effect.
